PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("AGREEMENT").  IF YOU DOWNLOAD, INSTALL, ENABLE, COPY, USE OR OTHERWISE TAKE DELIVERY OF THE SOFTWARE ("SOFTWARE") THAT ACCOMPANIES THIS AGREEMENT, YOU AGREE TO BE LEGALLY BOUND BY THE FOLLOWING TERMS AND CONDITIONS, WHICH ALSO APPLY TO ANY XEROX UPGRADES, UPDATES, SUPPLEMENTS, AND ADD-ONS FOR THE SOFTWARE, UNLESS THEY ARE PROVIDED UNDER OTHER TERMS.  IF YOU DO NOT ACCEPT THESE LICENSE TERMS, DO NOT USE THE SOFTWARE.

WHEN USED IN THIS AGREEMENT "XEROX" MEANS XEROX CORPORATION, ITS SUBSIDIARY OR ITS CORPORATE AFFILIATE FROM WHICH YOU (OR THE XEROX AUTHORIZED CHANNEL WHO SUPPLIED YOU) OBTAINED THE SOFTWARE.  "XEROX AUTHORIZED CHANNEL" MEANS AN INDEPENDENT THIRD PARTY WITH WHICH XEROX HAS SIGNED AN AGREEMENT TO PROMOTE, MARKET OR DISTRIBUTE THE SOFTWARE.  "YOU" MEANS THE INDIVIDUAL OR LEGAL ENTITY ACQUIRING THE SOFTWARE.  

1.	LICENSE GRANT
For as long as you comply with the terms of this Agreement Xerox grants you a non-exclusive, non-transferable license to install and use one copy of the Software on a single unit of equipment, and to make one copy of the Software for backup purposes.  Your back-up copy of the Software must include all confidential, proprietary, patent, copyright and/or trademark notices displayed on the original.  You may not use the Software on multiple items of equipment at one time without first obtaining a separate license for each item of equipment and paying any applicable license fees.  

If the Software is FreeFlow VI eCompose and it is being installed under the "Single-user" license, the Software is licensed to you solely for use in a standalone, non-production environment. If you are installing FreeFlow VI eCompose under the "Multi-user" license, the Software is licensed to you for production use. 

All rights, title and interest in and to the Software (including your backup copy) will at all times reside exclusively with Xerox and/or its licensors.  You have no other rights to the Software.  You will not: (i) modify or create derivative works of the Software; (ii) disassemble, de-compile or reverse engineer the Software, except to the extent required to obtain interoperability with other independently created software as explicitly permitted by law; (iii) sell, lease, distribute, loan, or sublicense the Software; (iv) publish any benchmark results for the Software; or (v) disclose or permit access to the Software by any third party.

2.	WARRANTY AND DISCLAIMER
(a)	For a period of ninety (90) days from the date the Software is first licensed to you, the Software will substantially conform to the functionality described in the applicable documentation so long as used in the appropriate environment, as specified in the documentation.  The Software is not warranted to be free from error, or to operate uninterruptedly.  In addition, Xerox does not warrant that every feature and all functionality of the Software will perform in an error-free manner when printing on a non-Xerox branded printer.  

(b)	If the Software fails during the warranty period to conform to the above warranty, you must notify Xerox prior to expiration of the warranty period and Xerox will, at its option, and as your sole remedy, either replace the Software or fully refund the license fee you paid for the Software.  If a refund is made, you will certify to Xerox that you have de-installed the Software and erased or destroyed both the original Software and your one backup copy.  If the Software is installed on a hardware/software platform not meeting Xerox' published specifications, all representations and warranties herein shall be void.

(c)	TO THE FULLEST EXTENT PERMITTED BY LAW XEROX AND ITS LICENSORS DISCLAIM ALL OTHER EXPRESS AND IMPLIED WARRANTIES (AND THEIR EQUIVALENTS UNDER THE RESPECTIVE APPLICABLE LAW), INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND, FOLLOWING THE ABOVE REFERENCED WARRANTY PERIOD, THE IMPLIED WARRANTY OF MERCHANTABILITY OR SATISFACTORY QUALITY. SOFTWARE MAY CONTAIN, OR BE MODIFIED TO CONTAIN, COMPUTER CODE CAPABLE OF AUTOMATICALLY DISABLING PROPER OPERATION OR FUNCTIONING OF THE SOFTWARE AND/OR THE UNIT OF EQUIPMENT UPON WHICH IT IS INSTALLED.  SUCH DISABLING CODE MAY BE ACTIVATED (A) IF XEROX IS DENIED ACCESS TO THE SOFTWARE AND/OR THE SYSTEM AS PROVIDED HEREIN, (B) YOU BREACH ANY TERM OF THIS AGREEMENT, OR (C) THIS LICENSE IS TERMINATED OR EXPIRES.  All warranties and representations made by persons other than Xerox, including, but not limited to, distributors, dealers, and other resellers of Xerox, are also disclaimed.

3.	LIMITATION OF LIABILITY
IN NO EVENT WILL XEROX OR ITS LICENSORS BE LIABLE TO YOU FOR (a) ANY DIRECT DAMAGES IN EXCESS OF THE LICENSE FEE YOU PAID FOR THE SOFTWARE; OR (b) ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO DATA LOSS, LOST PROFITS, LOST ANTICIPATED SAVINGS, OR BUSINESS INTERRUPTION) IN ANY WAY ARISING OUT OF OR RELATING TO THIS AGREEMENT UNDER ANY LEGAL THEORY WHATSOEVER.  THE LIMITATIONS OF LIABILITY SET FORTH HEREIN MAY NOT APPLY IN CERTAIN JURISDICTIONS AND THUS MAY NOT APPLY TO YOU; IN SUCH CASES, THE LIABILITY OF XEROX AND ITS LICENSORS HEREUNDER SHALL BE THE MINIMUM REQUIRED BY LAW.

4.	SUPPORT
Xerox will have no obligation to provide any maintenance, technical support, modifications, updates, or upgrades to the Software unless you have paid the then current annual Software support fee and agreed to any additional terms and conditions therefor, in which case Xerox will provide maintenance releases which Xerox may make generally available to its customers who have acquired support for the Software.  If the Software is installed on a hardware/software platform not meeting Xerox' published specifications, any support/maintenance you contract for in connection with the Software shall be voidable and/or subject to additional charges.  Xerox will have no responsibility for (1) identifying or correcting deficiencies arising from use of the Software with non-Xerox branded devices or (2) providing service or support for non-Xerox products connected to or used with the Software.  

5.	US GOVERNMENT RESTRICTED RIGHTS
The Software is provided with Restricted Rights.  You agree to meet all applicable requirements necessary to ensure that the Federal Government will honor such rights.  Disclosure, use or reproduction of the Software and accompanying documentation are subject to restrictions set forth in the Commercial Computer-Restricted Rights clause at Federal Acquisition Regulation 52.227-19, when applicable, or in the Department of Defense Federal Acquisition Regulations Supplement 252.227-7013, when applicable.

6.	INDEMNIFICATION
a.	Xerox will defend you from, and pay any ultimate judgment for, infringement by the Software of any third party's intellectual property rights in the country the Software is licensed to you if you promptly notify Xerox in writing of any alleged infringement, allow Xerox to direct the defense and fully cooperate with Xerox.  All notices shall be sent to the Xerox Office of General Counsel, 45 Glover Avenue, P.O. Box 4505, Norwalk, CT 06856-4505.   To avoid infringement, or any threat thereof, Xerox may, at its option, and at no charge to you, either obtain a license, modify or substitute an equivalent product, or remove the Software and refund an appropriate part of the license fee you paid for the Software.  Xerox will not be liable for any infringement due to the Software being used in combination with equipment, software or supplies not provided by Xerox or a Xerox Authorized Channel.  Xerox is not responsible for any non-Xerox litigation expenses or settlements, unless Xerox agrees to them in writing.

b.	You agree to indemnify, defend and hold Xerox and its affiliates and licensors, and their respective employees, officers, directors and representatives, harmless from and against any and all claims, losses, damages, liabilities, judgments, penalties, fines, costs and expenses (including reasonable attorneys fees), arising out of or in connection with (i) your use of the Software in a manner not authorized by this Agreement or in violation of the licensing restrictions imposed by any and all font owners, (ii) your violation of any term or condition of this Agreement, or (iii) you or your employees' or personnel's acts, omissions, misrepresentations, or negligence.

7.    RESTRICTED FONTS
Some font owners may impose licensing restrictions upon usage of their fonts.  When you attempt to embed font(s) subject to such licensing restrictions in a document, you may be notified that one or more of the font(s) you have selected are restricted and may be given the opportunity to proceed or to select an alternate font.  Upon embedding fonts in your document(s) you will be subject to the indemnification provisions of paragraph 6.b herein, regardless of whether such fonts have been identified as being restricted fonts.  

8.	TERM
The term of the license granted in this Agreement will commence from the earlier of the date on which you download, install, enable or otherwise take delivery of the Software and will continue for as long as you comply with the terms of this Agreement. Upon termination for whatever reason, you shall de-install the Software and return or destroy, at Xerox' option and direction, the Software, your back up copy and all materials provided by Xerox under this Agreement.

9.	TRIAL USE
If the Software is licensed on a trial basis, your rights to use the Software are limited to the trial period.  During the trial period, the Software may provide limited functionality and your use of the Software is entirely at your own risk.  During and following the trial period, you may have the option to convert to a full license.  After the expiration of any trial period without conversion, the Software will be automatically disabled.  

10.	THIRD PARTY LICENSORS
(a)	The Software contains software developed by third parties, and each such third party may be considered a third party beneficiary of your obligations under this Agreement.

11.	GENERAL
If any provision of this Agreement is found invalid or unenforceable, such invalidity or unenforceability will not affect the validity or enforceability of any other provision.  

If the Software is licensed to you in Canada, this Agreement shall be construed in accordance with the laws of the Province in which the Software is installed and any disputes shall be adjudicated or otherwise decided in the respective local forums.

If the Software is licensed to you in Switzerland or the European Economic Area, this Agreement shall be construed in accordance with the laws of the State, Province or Country in which the Software is installed and any disputes shall be adjudicated or otherwise decided in the respective local forums.  
 
If the Software is licensed to you in any other jurisdiction, this Agreement shall be construed in accordance with the laws of the State of New York, United States of America, and disputes shall be adjudicated or otherwise decided in the forums therefor located in the State of New York.

This Agreement will not be governed by the conflict of law rules of any jurisdiction nor by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. 

You will not export or re-export the Software without appropriate applicable U. S. or foreign government licenses or for any purpose prohibited by any applicable export control laws.  

This Agreement constitutes the entire agreement between the parties in connection with the subject matter hereof, and supersedes all prior agreements and representations, whether oral or written, between the parties.  

This Agreement may be amended only in writing signed by duly authorized representatives of both parties.  

You may not assign this Agreement or any rights and obligations to any third party without the express written permission of Xerox  

Any failure or delay by Xerox to exercise any right or remedy under this Agreement will not be construed to be a waiver of any such right or remedy or any other right or remedy.  

The rights of Xerox under this Agreement are cumulative and may be exercised separately or concurrently.
