SPECIALTY IMAGING FONT LICENSE AGREEMENT
 
READ THIS ENTIRE AGREEMENT BEFORE YOU PROCEED WITH THE PURCHASE OR INSTALLATION OF THIS SOFTWARE.  THIS AGREEMENT CONTAINS THE LICENSE TERMS AND CONDITIONS FOR SPECIALTY IMAGING FONT LIBRARIES LICENSED BY XEROX CORPORATION.  THE SPECIALTY IMAGING FONT LIBRARIES ARE PROTECTED BY COPYRIGHT LAW AND INTERNATIONAL TREATY PROVISIONS AND ARE FURNISHED SUBJECT TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.  WHEN USED IN THIS AGREEMENT THE TERM "XEROX" SHALL MEAN XEROX CORPORATION, ITS OPERATING COMPANIES, SUBSIDIARIES AND AFFILIATES. 

IF THE SPECIALTY IMAGING FONT LIBRARY HAS BEEN DELIVERED TO YOU, INSTALLING OR USING THE SPECIALTY IMAGING FONT LIBRARY IN ANY MANNER WILL BE CONSIDERED ACCEPTANCE OF THE AGREEMENT TERMS.  IF THESE TERMS ARE NOT ACCEPTABLE, THE SPECIALTY IMAGING FONT LIBRARY AND ANY ACCOMPANYING MATERIALS SHOULD BE RETURNED PROMPTLY TO THE PLACE OF PURCHASE FOR A FULL REFUND OF ANY LICENSE FEE PAID.  

IF YOU ARE OBTAINING THE SPECIALTY IMAGING FONT LIBRARIES FROM THIS WEBSITE, XEROX WILL ACCEPT YOUR PAYMENT AND DELIVER THE SOFTWARE TO YOU ONLY UPON YOUR ACCEPTANCE OF ALL OF THE TERMS OF THIS LICENSE AGREEMENT.  BY CLICKING THE “ACCEPT” OR “YES” BUTTON YOU CONFIRM THAT YOU HAVE READ THIS LICENSE, THAT YOU UNDERSTAND IT AND THAT YOU AGREE TO BE LEGALLY BOUND BY ITS TERMS AND CONDITIONS. 

1.	LICENSED SOFTWARE.  “Licensed Software” means the Specialty Imaging Font Package comprising either (a) the GlossMark® and Correlation Mark™ Fonts library or (b) the MicroText™ Fonts library provided with this Agreement  or obtained from this website upon acceptance of this Agreement and payment of the appropriate licensee fee.  The Specialty Imaging fonts are designed to work with Xerox branded printers.  The MicroText™ Fonts require high quality media for optimal output results and the GlossMark® Fonts require production color printers for the appropriate specialty imaging effect. 
2	LICENSE GRANT.  Subject to your compliance with the terms and condition of this Agreement, including without limitation the payment of the applicable license fee, Xerox grants you a limited, nonexclusive, nontransferable, non-assignable, revocable license to install the Licensed Software on a single digital front end connected to a Xerox branded printer (collectively “System”) located in the United States or the country in which you obtained the Licensed Software and to use, execute, store and display a single copy of the Licensed Software to generate and print documents on such System during the Term of the Agreement.  The Licensed Software is licensed, not sold.  Xerox and its shall retain exclusive ownership of and all rights, title and interest in and to the Licensed Software and any permitted copies.  Except for the visual appearance of the Licensed Software as presented to an end user, each copy of the Licensed Software and accompanying documentation must include and retain all confidential, proprietary, patent, copyright and/or trademark notices contained on the original.  You may make and retain a reasonable number of copies of the Licensed Software but only for backup purposes in the event loaded materials are lost or damaged.  You have no other rights in or to the Licensed Software.  You may not distribute, copy, modify, create derivative works of, decompile, or reverse engineer the Licensed Software, or allow others to engage in same.  You may not alter the digital configuration of the Licensed Software, such as changing the visual appearance of the Licensed Software’s output from the item of equipment on which it is used. 
3.	TERM.  The term of the license granted in this Agreement will commence on the date you accept the terms and conditions set forth herein and continue in full force and effect unless terminated at any time by Xerox in the event you breach any of the terms of this Agreement.  Upon termination, you shall cease all use of the Licensed Software and shall uninstall Licensed Software and return or destroy, at Xerox’ option and direction, all copies of the Licensed Software in your possession or control.  
4.	NO WARRANTY.  THE LICENSED SOFTWARE IS PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND.  THE LICENSED SOFTWARE MAY NOT FUNCTION OR MAY HAVE LIMITED FUNCTIONALITY WHEN USED WITH NON-XEROX PRODUCTS.  XEROX DOES NOT WARRANT THAT LICENSED SOFTWARE WILL BE FREE FROM ERRORS OR THAT ITS OPERATION WILL BE UNINTERRUPTED.  XEROX DISCLAIMS ANY AND ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND STATUTORY WARRANTIES OF NON-INFRINGEMENT.  LICENSED SOFTWARE MAY CONTAIN, OR BE MODIFIED TO CONTAIN, COMPUTER CODE CAPABLE OF AUTOMATICALLY DISABLING PROPER OPERATION OR FUNCTIONING OF LICENSED SOFTWARE. SUCH DISABLING CODE MAY BE ACTIVATED (a) IF XEROX IS DENIED ACCESS TO LICENSED SOFTWARE AND/OR THE EQUIPMENT ON WHICH LICENSED SOFTWARE IS INSTALLED TO MAINTAIN AND RESET SUCH DISABLING CODE, (b) YOU OTHERWISE BREACH ANY TERM OF THIS AGREEMENT, OR (c) YOUR LICENSE IS TERMINATED. 
6.	SUPPORT DISCLAIMER. Xerox is not obligated to provide any maintenance, technical support, or modifications, updates, or upgrades to the Licensed Software. Xerox shall have no responsibility for identifying or correcting deficiencies in products connected to or used with the Licensed Software or for otherwise providing service or support for such products. 
7.	INDEMNIFICATION. Xerox will defend you from, and pay any ultimate judgment which is awarded against you on account of a claim asserted by a third party against you alleging that the Licensed Software infringes or misappropriates such third party’s intellectual property rights in the United States, provided that Xerox is promptly notify by you of any alleged infringement, is given the sole right to control the defense and settlement of the claim and is given all reasonable assistance by you necessary for Xerox to perform its obligations under this section.  All notices shall be sent to Xerox Corporation, 45 Glover Avenue, Norwalk, CT 06856-4505, Attn: Office of General Counsel.  Xerox is not responsible for any non-Xerox litigation expenses or settlements, unless Xerox agrees to them in writing.  Xerox shall have no obligations under this section if you have modified the Licensed Software.  Xerox will not be liable for any infringement due to the Licensed Software being used in combination with equipment, software, or supplies not provided by Xerox or if the Licensed Software is used to implement processes not provided by Xerox.  Xerox’ obligations under this section are conditioned on you immediately ceasing use of the License Software upon notice of such Claim.  To avoid infringement, even if not alleged, Xerox may, at its option, and at no charge to you, either obtain a license, or modify, substitute an equivalent of or remove the Licensed Software.  If Licensed Software is removed by Xerox for this reason, the purchase price you paid, if any, for the Licensed Software will be fully refunded. 
8.	LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL XEROX BE LIABLE TO YOU FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES IN ANY WAY ARISING OUT OF OR RELATING TO THIS AGREEMENT, INCLUDING WITHOUT LIMITATION COSTS ASSOCIATED WITH RELOADING, RECREATING OR REPLACING LOST OR DAMAGED THIRD PARTY PRODUCTS OR DATA. IN ADDITION, XEROX’S ENTIRE LIABILITY TO YOU FOR DIRECT DAMAGES FOR ALL CAUSES OF ACTION WILL IN NO EVENT EXCEED THE GREATER OF THE AMOUNT YOU ACTUALLY PAID FOR THE LICENSED SOFTWARE OR U.S. $5.00.  
9.	U.S. GOVERNMENT RESTRICTED RIGHTS. The Licensed Software is provided with Restricted Rights. Recipient agrees to meet all requirements necessary to ensure that the Federal Government will honor such rights. Disclosure, use or reproduction of the Licensed Software and accompanying documentation are subject to restrictions set forth in the Commercial Computer-Restricted Rights clause at Federal Acquisition Regulation 52.337-19, when applicable, or in the Department of Defense Federal Acquisition Regulations Supplement 252.227-7013.
10.	NO ASSIGNMENT.  The rights and obligations of the parties under this Agreement are personal and may not be assigned or transferred by either party without the prior written consent of the other party.  Any attempt by a party to assign or transfer its rights or delegate its obligations hereunder without such prior written consent shall be null and void.  
11.	NO WAIVER. Failure or delay of any party to exercise any right or remedy under this Agreement or to require strict performance by another party of any provision of this Agreement shall not be construed to be a waiver of any such right or remedy or any other right or remedy hereunder. 
12.	SEVERABILITY.  If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable, all other provisions hereof shall remain in full force and effect, and be interpreted to the extent possible consistent with the intent of the parties expressed by this Agreement. 
13.	EXPORT. You agree that you will not, directly or indirectly, export or transmit (a) Licensed Software or (b) any product containing Licensed Software to any country to which such export or transmission is restricted by any applicable U.S. regulation or statute, without the prior written consent, if required, of the Bureau of Export Administration of the U.S. Department of Commerce, or such other governmental entity as may have jurisdiction over such export or transmission.
14.	GOVERNING LAW.  This Agreement shall be construed in accordance with the laws of the State of New York, without regard to its choice of laws provisions.  All disputes arising out of or in connection with this Agreement shall be adjudicated in, and the parties consent to the jurisdiction of, the state and federal courts of the State of New York.  
15.	ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties in connection with the subject matter hereof, and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.  No amendment to or modification of this Agreement will be binding unless it is in writing and signed by a duly authorized representative of each of the parties.
